Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services provided by GoBlinkly ("GoBlinkly", "we", "us"). By signing an order, booking onboarding, making payment, or otherwise engaging our services, you ("Client") agree to be bound by these Terms. If you do not agree, do not use the services. These Terms apply to all Clients regardless of location, including those in Canada, the United States, and the European Union.

1. The Services

GoBlinkly provides a fully managed Answer Engine Optimization (AEO) and SEO service for established B2B companies. Depending on your plan, the services include:

• Buyer-question research: Mapping the buyer-intent questions asked of AI answer engines in your category
• On-site optimization: Rebuilding and restructuring your website pages so answer engines parse them cleanly and treat you as a credible source
• Content production: Reference-grade content created for your brand, built to be cited by AI answer engines and to perform in search
• Off-site authority building: Earning mentions, citations, and links on third-party sources, including authority backlinks and, on applicable plans, digital PR placements and founder authority building
• Citation tracking: A dashboard showing which buyer queries cite your brand, on which AI engines (coverage varies by plan)
• Ongoing optimization: Monthly maintenance and extension of the work, with regular updates and strategy calls

Plan inclusions, engine coverage, and pricing are described at goblinkly.com/pricing. The services are intended solely for business use by commercial entities and their authorized representatives. They are not a consumer product.

2. Eligibility and Account

• You must provide accurate, complete, and current information when engaging the services and keep it updated.
• You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of your organization.
• You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account. Notify us immediately at support@goblinkly.com of any unauthorized use.
• GoBlinkly may suspend or terminate engagements based on false information or violation of these Terms.

3. Client Access Grants

The services are done-for-you and depend on access you grant during onboarding:

• You agree to provide GoBlinkly with the access reasonably required to perform the services, which may include your website or CMS, hosting environment, Google Analytics 4, Google Search Console, and similar platforms. Where supported, access is granted through secure authorization (such as OAuth) rather than shared passwords.
• You represent and warrant that you have the authority to grant this access.
• You may revoke access at any time through the relevant platform. However, GoBlinkly cannot perform work that depends on revoked access, and periods during which required access is unavailable are excluded from (and extend) any time-based commitments, including the 90-Day Promise.

4. Fees and Billing

4.1 Plans and Pricing

The services are offered on a subscription basis under the plans described at goblinkly.com/pricing. GoBlinkly may modify pricing with at least 30 days' notice to existing Clients; quarterly-billed Clients with an active price lock keep their locked rate for its stated duration.

4.2 Billing Terms

• Fees are billed on a recurring basis, monthly or quarterly depending on the option selected, via Stripe, our third-party payment processor.
• By providing payment information, you authorize recurring charges for the subscription fees.
• All fees are quoted and charged in USD and are exclusive of applicable taxes. You are responsible for any applicable sales tax, GST/HST/QST, VAT, or other taxes.
• Quarterly billing is prepaid for the quarter and includes the quarterly-plan benefits described on the pricing page at the time of purchase.

4.3 Cancellation

• Monthly plans are month-to-month. You may cancel at any time by written notice to support@goblinkly.com; cancellation takes effect at the end of the current billing period, and you retain access to deliverables and reporting until then.
• Quarterly plans run to the end of the prepaid quarter and do not renew if cancelled before the renewal date.
• Except as provided under the 90-Day Promise (Section 5) or as required by applicable law, fees already paid are non-refundable, including for unused portions of a billing period.

4.4 Failed Payments

If a payment fails, we will notify you by email. If the payment is not resolved within 7 days, GoBlinkly may pause work and suspend access to reporting until payment is restored, and may terminate the engagement for continued non-payment.

5. The 90-Day Promise

GoBlinkly stands behind its work with the following performance commitment:

5.1 The Commitment

GoBlinkly commits that your brand will be cited on ChatGPT in response to at least three (3) Qualifying Queries within ninety (90) days of the start of your engagement (the "Promise Period").

A "Qualifying Query" is an industry-relevant, buyer-intent query identified and documented by GoBlinkly during the research phase of your engagement. A query is satisfied when your brand is named or cited in ChatGPT's response to it at any point during the Promise Period, as recorded by GoBlinkly's citation tracking. GoBlinkly's citation tracking records, as reflected in your dashboard and reports, are determinative for the purposes of this Section, absent manifest error.

5.2 The Remedy

If, and only if, the commitment in Section 5.1 is not met, you will receive, upon written request to support@goblinkly.com made within thirty (30) days after the end of the Promise Period: (a) a full refund of the fees you paid to GoBlinkly for the Promise Period, and (b) ownership of all deliverables produced for you during that period, in accordance with Section 8. This refund is your sole and exclusive remedy for not meeting the commitment. Requests made after this window are waived.

5.3 Conditions

The 90-Day Promise applies only if, throughout the Promise Period, you:

• Complete onboarding and grant the access described in Section 3 without undue delay (the Promise Period begins only once all required access is granted);
• Maintain that access without interruption and keep your subscription active, paid, and in good standing;
• Do not materially impede the work, including by removing, unpublishing, or substantially altering content GoBlinkly publishes, blocking or reversing site changes, or withholding approvals required to proceed.

Periods during which any of these conditions are not met pause and extend the Promise Period accordingly. If you cancel your subscription or terminate the engagement before the end of the Promise Period, the 90-Day Promise lapses and no refund is owed under this Section.

5.4 Scope and Exclusions

The refund in Section 5.2 is triggered exclusively by failure to meet the citation commitment in Section 5.1. It does not apply in any other circumstance, including dissatisfaction with the services, a change in your strategy, budget, or priorities, fluctuations in citations after the Promise Period, or performance on engines other than ChatGPT. Where the commitment has been met, all fees remain earned and non-refundable in accordance with Section 4.3. The 90-Day Promise applies once per Client, to the initial engagement only, and does not renew or restart upon plan changes, upgrades, or re-engagement.

6. AI-Generated Content and AI Answer Engines

The services involve content produced with the assistance of artificial intelligence and outcomes measured on third-party AI answer engines. You acknowledge and agree:

• Content production: Content is produced using a combination of AI tools and human research, editing, and review by GoBlinkly. While we apply editorial review, we do not warrant that any content is entirely error-free, and you may review content and request corrections at any time.
• Originality: GoBlinkly takes reasonable steps to produce original content but does not warrant that content will be free from incidental similarity to existing publicly available material.
• Disclosure laws: You are responsible for ensuring your use of AI-assisted content complies with any disclosure laws or platform policies applicable in your jurisdiction or industry.
• AI engines are third parties: ChatGPT, Claude, Perplexity, Gemini, and similar engines are operated by third parties. Their outputs are probabilistic and change over time. A citation earned can fluctuate, and GoBlinkly does not control, and is not responsible for, the underlying models, their answers, or their availability.

7. No Guarantee of Results Beyond the 90-Day Promise

Other than the express commitment in Section 5, GoBlinkly makes no representations, warranties, or guarantees regarding search rankings, AI citation volume or persistence, traffic, lead volume or quality, conversions, or revenue. AEO and SEO outcomes depend on factors outside GoBlinkly's control, including model and algorithm changes, the competitive landscape, your market, and your product. Results vary by client. Any performance figures, case studies, or statistics presented on our website reflect specific client outcomes and are not a promise of equivalent results.

8. Content Ownership and Intellectual Property

8.1 Client-Owned Deliverables

All content and on-site work produced and published by GoBlinkly for your engagement ("Deliverables") is owned by you. GoBlinkly assigns to you all right, title, and interest in the Deliverables upon payment of the applicable fees. This ownership survives termination — including under the 90-Day Promise, where you keep the work even when fees are refunded.

8.2 Client Materials

You retain ownership of all materials you provide to GoBlinkly (brand guidelines, documentation, website content, logos, and similar — "Client Materials"). You grant GoBlinkly a limited, non-exclusive, royalty-free license to use Client Materials solely to provide the services. You represent and warrant that you own or have the right to use all Client Materials and that GoBlinkly's use of them as instructed will not infringe third-party rights.

8.3 GoBlinkly IP

All rights in GoBlinkly's platform, technology, software, methodologies, research processes, and documentation remain the exclusive property of GoBlinkly. Nothing in these Terms transfers GoBlinkly intellectual property to you, and general know-how and techniques developed in the course of the engagement may be used by GoBlinkly in its business.

8.4 Case Studies and Portfolio Use

GoBlinkly may reference your company name, logo, and engagement results as a case study or portfolio example on its website, marketing materials, and sales presentations. You may opt out at any time by notifying support@goblinkly.com, and we will cease such use within 30 days. We will obtain your approval before publishing any case study containing your non-public business information.

9. Confidentiality

Each party agrees to protect the other's non-public business information received in connection with the engagement, to use it only to perform under these Terms, and not to disclose it to third parties except to employees and contractors who need it and are bound by comparable obligations, or as required by law. This obligation survives termination for two (2) years, and indefinitely for trade secrets.

10. Client Responsibilities

You are responsible for:

• Providing accurate, complete, and lawful Client Materials and business information
• Granting and maintaining the platform access described in Section 3
• Ensuring that your products, services, and claims about them are lawful, and promptly informing us of changes to your offering, pricing, or positioning that affect published content
• Reviewing Deliverables and promptly notifying GoBlinkly of any errors at support@goblinkly.com
• Ensuring your engagement of GoBlinkly does not violate any third-party platform terms applicable to your accounts

11. Publishing Errors and Remedies

GoBlinkly takes reasonable care to ensure work is published accurately. If a publishing error occurs (incorrect content published, content published to the wrong page, or content unintentionally altered or deleted), GoBlinkly will make reasonable efforts to rectify the error promptly upon notification. We aim to acknowledge error reports within 1 business day and resolve them within 3 business days where technically possible. GoBlinkly's obligation is limited to reasonable efforts to correct the error, and GoBlinkly is not liable for downstream consequences of a publishing error except to the extent caused by its gross negligence or willful misconduct.

12. Acceptable Use

You agree not to use the services to:

• Publish or request content that is unlawful, defamatory, deceptive, or infringing of third-party rights
• Promote products or claims that are fraudulent or that you are not lawfully entitled to make
• Manipulate search engines or answer engines in violation of their published guidelines through the engagement
• Reverse engineer, decompile, or extract the source code of any GoBlinkly software
• Disrupt, damage, or impair the services or their infrastructure
• Resell, sublicense, or make the services available to third parties without GoBlinkly's prior written consent

GoBlinkly may suspend or terminate the engagement immediately for breach of this section, without liability to you.

13. Third-Party Platforms

The services interact with third-party platforms, including your CMS and hosting, Google Analytics 4, Google Search Console, AI answer engines, and the third-party publications where off-site authority is built. You agree that:

• Your use of those platforms remains subject to their own terms and policies
• GoBlinkly is not responsible for changes, outages, or policy decisions of third-party platforms that affect the services, including a third-party publication's decision to modify or remove a placement
• Off-site placements, mentions, and links are earned through editorial outreach; specific publications or placements are not guaranteed unless expressly stated in your plan

14. Disclaimers and Limitation of Liability

14.1 Disclaimer of Warranties

Except as expressly stated in these Terms, the services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. GoBlinkly does not warrant that the services will be uninterrupted or error-free.

14.2 Limitation of Liability

To the maximum extent permitted by applicable law, GoBlinkly's total aggregate liability for any claims arising out of or relating to these Terms or the services shall not exceed the total fees paid by you to GoBlinkly in the three (3) months immediately preceding the event giving rise to the claim. In no event shall GoBlinkly be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, even if advised of the possibility. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for gross negligence or intentional fault under the laws of Quebec.

14.3 Indemnification

You agree to indemnify, defend, and hold harmless GoBlinkly and its officers, employees, and contractors from claims, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) your Client Materials, including claims that they infringe third-party rights; (b) your products, services, or business claims; (c) your breach of these Terms; or (d) your violation of applicable law.

15. Suspension and Termination

• GoBlinkly may suspend or terminate the engagement immediately if you breach these Terms, fail to pay fees when due, or if continued service poses a legal or security risk.
• You may terminate as described in Section 4.3.
• Upon termination, your right to the services ceases at the end of the paid period. You retain ownership of all Deliverables paid for. GoBlinkly will retain and then delete your data in accordance with its Privacy Policy.
• Sections 5.2 (where applicable), 8, 9, 14, 16, and 17 survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Mandatory protections under the law of an EU Client's jurisdiction are not excluded by these Terms.

In the event of a dispute, the parties will first attempt to resolve it informally by written notice to support@goblinkly.com. If the dispute is not resolved within 30 days, either party may bring proceedings before the courts of competent jurisdiction in the judicial district of Montreal, Province of Quebec.

17. General Provisions

• Entire agreement: These Terms, together with your order or plan selection and GoBlinkly's Privacy Policy, constitute the entire agreement regarding the services and supersede all prior agreements or understandings.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision is not a waiver of it.
• Assignment: You may not assign these Terms without GoBlinkly's prior written consent. GoBlinkly may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure: Neither party is liable for delay or failure caused by events beyond its reasonable control.
• Language: The parties confirm their express wish that these Terms and all related documents be drawn up in English. Les parties confirment leur volonté expresse que les présentes conditions et tous les documents qui s'y rattachent soient rédigés en anglais.

18. Changes to These Terms

GoBlinkly may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect and post the updated Terms with a revised "Last Updated" date. Continued use of the services after the effective date constitutes acceptance. If you do not agree, you may cancel before the effective date as described in Section 4.3.
